HeyOz Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and Webaverse, Inc. ("HeyOz", "we", "us", or "our"), operator of the HeyOz platform and related applications, websites, and services (collectively, the "Service").

By creating an account, clicking to accept these Terms, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. The representations, warranties, consents, and authorizations you give in these Terms are made when you register for an account and are reaffirmed by you each time you upload, submit, or generate content through the Service. If you do not agree, do not create an account or use the Service.

If you accept these Terms on behalf of a company or other organization, you represent that you have authority to bind that entity, and "you" refers to that entity.

1. Definitions

  • "User Content" means any material you upload, submit, provide, or otherwise make available to the Service, including product images, brand assets, photographs, video footage, audio recordings, text, prompts, and any images or recordings of real persons.
  • "Generated Content" means images, videos, audio, text, and other outputs created by the Service in response to your inputs.
  • "Third-Party AI Providers" means the third-party artificial-intelligence model providers whose models power features of the Service, including BytePlus / ByteDance (including ModelArk, Seedance, and Seedream models), fal.ai, OpenAI, Anthropic, Google, ElevenLabs, HeyGen, Suno, ZapCap, Submagic, and other providers such as those powering Veo, Kling, Sora, and transcription features, together with their respective affiliates and subprocessors.
  • "Real Person" means any identifiable natural person whose face, likeness, image, or voice appears in User Content or Generated Content.
  • "Likeness Consent Flow" means the consent and authorization process we make available for adding a Real Person's image or voice to the Service — currently, the in-product consent confirmation you must accept when creating an AI actor from photos of a real person. Content you submit for AI-actor features may also be registered with Third-Party AI Providers (for example, in the BytePlus asset library), whose automated content moderation may reject content that appears to contain a real person, celebrity, or public figure; such moderation does not verify identity or authorization, is provided as-is, and does not reduce your responsibilities under Section 4.

2. Eligibility and Account

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Service. You are responsible for maintaining the security of the email account and any third-party sign-in (such as Google) that you use to access the Service, and for all activity that occurs under your HeyOz account. You agree to provide accurate information and to keep it current.

3. License to Use the Service

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service, including for your internal business and commercial purposes such as creating and distributing marketing and advertising content. This is a license, not a transfer of title, and all rights not expressly granted are reserved.

4. User Content: Your Rights, Warranties, and Consents

This Section is central to your right to use the Service. You give the following representations, warranties, and consents at signup and again each time you upload or submit User Content.

4.1 Ownership and authorization

You represent and warrant that, for all User Content you upload or submit, you either legally own all intellectual-property and other rights in that content, or have obtained full, valid, and lawful authorization from every relevant rights holder to upload it, to have it processed by the Service and by Third-Party AI Providers, and to use the resulting Generated Content for your intended purposes. If you cannot confirm the rights status of any material, you must not upload it.

4.2 Portrait, likeness, and image rights

If any User Content contains a Real Person, you represent and warrant that you have obtained that person's own, informed, and lawful consent and authorization (or, where applicable, the authorization of the person lawfully holding those rights) to:

  • upload their image, likeness, and portrait to the Service;
  • have it processed by the Service and transmitted to and processed by Third-Party AI Providers; and
  • create, use, distribute, and publish Generated Content depicting or derived from their likeness.

For features that use a Real Person as an actor, presenter, avatar, or talking head, you must complete the Likeness Consent Flow where we make it available, and you must not upload another person's face, likeness, or portrait through general asset-upload tools in order to bypass that consent and authorization step. You acknowledge that a Real Person's assets may be used only after that person's consent and authorization have been obtained.

4.3 Voice rights

If any User Content contains the voice of a Real Person, you represent and warrant that you have that person's consent and authorization to upload, process, clone, synthesize, and use that voice through the Service and Third-Party AI Providers. You acknowledge that audio you submit for voice features is transmitted to and processed by third-party voice-AI providers (such as ElevenLabs) to create and operate synthetic voices, as described in our Privacy Policy.

4.4 No minors without verifiable parental consent

You represent and warrant that you will not upload, submit, or generate content depicting a Real Person who is a minor (a person under 18, or under the age of majority in the relevant jurisdiction) unless you have first obtained verifiable consent from that minor's parent or legal guardian and you comply with all applicable child-protection and privacy laws. We and our Third-Party AI Providers may refuse to process, and may block or remove, any content that appears to depict a minor, and certain models do not permit minors at all.

4.5 License you grant to us and our providers

You retain your ownership rights in your User Content. You grant HeyOz and our Third-Party AI Providers and service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical and formatting purposes), transmit, process, and display your User Content, and to generate outputs from it, solely as necessary to operate, provide, secure, and improve the Service and to deliver the features you use. This license exists only for as long as needed to provide the Service and to meet our legal obligations, and it extends to Third-Party AI Providers only to the extent required to process your requests through their models.

4.6 Publishing and sharing Generated Content

If you publicly share, publish, or distribute Generated Content through any channel (for example, social media, ad platforms, or content platforms), you represent and warrant that you have obtained all rights necessary to do so. You agree that a Third-Party AI Provider may retain the limited right to copy, distribute, modify, display, and use such content as necessary to operate its model services, consistent with that provider's terms, and you agree to those provider terms to the extent they apply to your use.

5. Third-Party AI Model Providers

The Service relies on Third-Party AI Providers to generate content. You acknowledge and agree that:

  • Your prompts and User Content (which may include images, video, and audio containing personal data and the likeness or voice of Real Persons) are transmitted to and processed by these providers to deliver the features you request;
  • This processing, and any related storage, may occur on the providers' infrastructure and may take place in countries other than your own, resulting in cross-border transfer of data, as further described in our Privacy Policy;
  • Your use of provider-powered features is also subject to the applicable acceptable-use and content policies of the relevant provider, and you agree to comply with them; and
  • We do not control, and are not responsible for, the models, outputs, availability, or policies of Third-Party AI Providers, except as required by law.

Real-person and celebrity content. Certain Third-Party AI Providers — including BytePlus (Seedance) — maintain strict policies prohibiting the use of the face, likeness, or voice of celebrities, public figures, or any real person without proper authorization, and apply automated content moderation that may reject content appearing to contain a real person or public figure. If you upload or generate content using a real person's face, likeness, or voice without lawful authorization, you do so in breach of these Terms, and as between you and HeyOz, you bear sole legal responsibility for all resulting claims, damages, penalties, and legal proceedings, and you will indemnify us and our Third-Party AI Providers as set out in Section 9. Provider moderation is not a guarantee and does not verify identity or authorization: the absence of a rejection does not mean content is lawful or authorized, and responsibility for compliance remains with you at all times.

6. Acceptable Use and Prohibited Content

You agree not to use the Service, and not to upload User Content or create Generated Content, to:

  • infringe any third party's rights, including intellectual-property rights, personality rights (such as portrait, likeness, image, and voice rights), privacy rights, or reputational rights;
  • create, without lawful authorization, content that depicts or impersonates a real, identifiable, or public figure, including deepfakes or synthetic media intended to deceive;
  • produce content that is unlawful, defamatory, fraudulent, deceptive, harassing, hateful, sexually explicit, or that sexualizes or endangers minors;
  • violate the acceptable-use or content policies of any Third-Party AI Provider or distribution platform;
  • attempt to reverse-engineer, extract, replicate, or misappropriate any underlying model, weights, algorithms, or parameters made available through the Service; or
  • otherwise violate any applicable law or regulation.

We may, at our discretion, refuse, block, moderate, remove, or suspend access to content or accounts that we reasonably believe violate this Section, and we may report unlawful activity to authorities.

7. Intellectual Property in the Service

The Service and its original content, features, and functionality (excluding your User Content and Generated Content) are owned by us and our licensors and are protected by copyright, trademark, and other laws. Nothing in these Terms transfers ownership of the Service to you.

8. Ownership of Generated Content

As between you and us, and subject to your compliance with these Terms (including the warranties in Section 4) and to the rights of Third-Party AI Providers, you own the Generated Content you create through the Service. You are solely responsible for how you use, publish, and distribute Generated Content, and for ensuring that such use is lawful and does not infringe any third party's rights.

9. Indemnification

You agree to defend, indemnify, and hold harmless HeyOz, Webaverse, Inc., our affiliates, and our Third-Party AI Providers and service providers, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your User Content; (b) your use of the Service or Generated Content; (c) your breach of these Terms, including any breach of the representations, warranties, or consents in Section 4; or (d) your violation of any law or any third party's rights, including portrait, likeness, voice, privacy, or intellectual-property rights.

10. AI-Generated Content Disclaimer

You acknowledge that Generated Content is produced by automated AI systems, may be inaccurate, unexpected, or unsuitable for a given purpose, and may resemble existing works or persons. You are responsible for reviewing Generated Content before use and for ensuring it complies with applicable law and platform policies.

If you distribute Generated Content to others, then to the extent required by applicable law or a distribution platform's policies, you must proactively disclose that the content was created using artificial-intelligence technologies, and you are solely responsible for providing any disclosure, label, or marking that applies to you as the publisher or deployer of that content (for example, deepfake-disclosure obligations under Article 50(4) of the EU Artificial Intelligence Act, or platform synthetic-media policies).

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

12. Limitation of Liability

To the fullest extent permitted by law, in no event shall HeyOz, Webaverse, Inc., or our Third-Party AI Providers be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of, or inability to use, the Service or any Generated Content.

13. Suspension and Termination

We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required by law, or if a Third-Party AI Provider requires it. Sections that by their nature should survive termination (including Sections 4, 6, 8, 9, 10, 11, and 12) will survive.

14. Modifications

We may modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date above and, where appropriate, by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, unless otherwise required by applicable mandatory law in your jurisdiction.
